Astra International Moves to Raise Astra Otoparts Stake in Rp860 Billion Tender Offer

PT Astra International Tbk is seeking to increase its ownership of automotive-components manufacturer PT Astra Otoparts Tbk through a voluntary tender offer worth about Rp860 billion. The proposed transaction would strengthen Astra’s control of a key automotive subsidiary as the conglomerate continues to consolidate its businesses.

Astra has offered Rp3,600 per share for as many as 238.44 million Astra Otoparts shares. If the offer is fully taken up, Astra International’s ownership would rise from 80% to as much as 84.947%.

The transaction remains subject to an effective statement from Indonesia’s Financial Services Authority, or OJK. The proposed purchase was disclosed at the end of August and represents one of Astra’s more significant recent portfolio moves within its automotive ecosystem.

Astra Otoparts supplies automotive components and replacement parts and operates within the wider automotive platform controlled by Astra. Increasing the parent company’s stake would give Astra greater economic exposure to the subsidiary while reducing the proportion of the business held by minority shareholders.

The move comes as Astra manages a diversified portfolio covering automotive, financial services, heavy equipment, mining, infrastructure, logistics, property and other businesses. Its financial results for the first half of 2026 provide the latest broad view of the group’s performance across those segments.

Astra is also returning significant capital to shareholders. The company has declared an interim dividend of Rp98 per share for fiscal 2026, equivalent to a total distribution of about Rp3.895 trillion, with payment scheduled for Oct. 30.

The interim dividend was approved by Astra’s directors on Sept. 10 and received approval from its board of commissioners on Sept. 30. The shares were scheduled to trade ex-dividend in the regular and negotiated markets from Oct. 13.

The dividend comes alongside a broader capital-allocation program. Astra has also disclosed plans related to its share buyback program and the transfer of repurchased shares for a management share-ownership program, indicating that the group is balancing reinvestment with shareholder distributions.

For Astra, increasing ownership of Astra Otoparts fits a broader strategy of strengthening control over businesses where the group already has a dominant position. The proposed tender offer would also increase the value of Astra’s economic interest in the automotive supply chain without requiring the group to build a new operating platform from scratch.

The Otoparts transaction and the interim dividend point to two parallel priorities for Astra in 2026: selective consolidation of existing businesses and continued cash returns to shareholders. The proposed Rp860 billion investment will now depend on regulatory approval and the response of minority shareholders.
